Business Contracts
The contract is where the company defines what it gains, what it risks and how it gets out of the deal if things go wrong. We draft, review and negotiate business contracts so that this risk is clear before signing, not after the first disagreement.
Drafting. We write service agreements, supply, purchase and sale, commercial representation, distribution, partnership and confidentiality agreements, and any others the operation requires, starting from the actual deal and not from a ready-made template.
Review and risk analysis. We read the contract sent by the other party clause by clause: term, price adjustment, penalties, guarantees, limitation of liability, termination and jurisdiction. We point out what weighs against the company and what needs to change.
Negotiation. We follow the negotiation with the other party and put in writing what was agreed, so that the signed version matches what was negotiated.
Expiration control. We organize the renewal, adjustment and termination notice dates of the contracts in force, so that none is renewed or ends without a decision by the company.
Data protection. We adapt contracts with customers and suppliers to the LGPD, Brazil's data protection law, whenever personal data is processed.
